Business Subscription Specific Terms
Effective Date: January 2026
Introduction
These Business Subscription Specific Terms (the "Business Subscription Terms") govern the purchase and use of the Business subscription offered by Freepik Company, S.L. (the "Company" or "Freepik") through the Freepik website and related services (the "Website").
These Business Subscription Terms constitute a binding agreement between Freepik and the customer contracting a Business subscription (the "Business Customer", "you" or "your"). By completing the purchase process for a Business subscription through the Website, you acknowledge that you have read, understood and accepted these Business Subscription Terms without reservation.
These Business Subscription Terms govern the purchase and use of the Business Subscription and apply in addition to the Freepik Terms of Use, including all policies, product-specific terms and conditions, and other documents incorporated therein by reference, as updated from time to time (collectively, the "Additional Terms"). For the purposes of these Business Subscription Terms, "Agreement" means the Freepik Terms of Use together with these Business Subscription Terms and any documents incorporated therein by reference.
Likewise, with respect to the collection and processing of personal data in connection with the Business Subscription and the Services, Freepik's Privacy Policy, including any applicable data processing addendum, shall apply.
In the event of any conflict or inconsistency between these Business Subscription Terms and the Additional Terms, these Business Subscription Terms shall prevail with respect to the Business subscription. The Additional Terms shall continue to apply to all matters not expressly regulated or supplemented in these Business Subscription Terms.
The Business subscription is offered on a self-service basis through the Website. No order forms, statements of work or separately executed agreements apply unless expressly agreed in writing by Freepik. The features, functionalities, usage limits and pricing applicable to the Business subscription are those made available on the Website at the time of purchase, as updated from time to time in accordance with these Business Subscription Terms.
The Business subscription is intended exclusively for organizational and professional use by companies, teams and other legal entities or professionals acting in a business or professional capacity. By contracting a Business subscription, you represent and warrant that you are acting on behalf of, and for the benefit of, an organization or professional activity, and that you have the legal authority to bind the Business Customer to these Business Subscription Terms.
Freepik may update these Business Subscription Terms from time to time to reflect changes to the Services, legal requirements or business practices.
1. Scope of the Business Subscription and Services
1.1. Business Subscription Scope
Subject to these Business Subscription Terms, the Business Subscription grants the Business Customer the right to access and use the Services under an organizational, multi-user model, solely for the Business Customer's internal business or professional purposes and during the applicable subscription term.
The Business Subscription is a standardized, self-service offering made available through the Website. The Business Customer acknowledges and agrees that the Business Subscription is not customized, negotiated or tailored to its specific needs, and that the scope, features, functionalities, usage limits and pricing applicable to the Business Subscription are those made available on the Website at the time of purchase, as updated from time to time in accordance with these Business Subscription Terms.
Access to the Services under the Business Subscription is provided through a centralized account and shared usage mechanisms, subject to the limitations and conditions set out in these Business Subscription Terms.
1.2. Benefits of the Business Subscription
After contracting the Business Subscription, as defined on the Website, the Business Customer may benefit from access to the Services under an organizational, multi-user model, including:
(a) access to Freepik Content and other content libraries made available through the Services, in accordance with the applicable license terms and usage conditions set out in the Additional Terms;
(b) access to and use of the artificial intelligence products and tools made available through the Services (the "AI Products"), including the generation, editing and use of Outputs, subject to the applicable Usage Credits, limits and conditions described on the Website and in the AI Products Terms and Conditions;
(c) the ability to download, generate, edit and use content through the Services without attribution requirements, where such attribution is not required under the applicable content license;
(d) access to the features and functionalities of the Services that are made available to Business Subscription users on the Website from time to time, subject to the usage limits, credit mechanisms and other conditions described therein.
The specific scope, availability and conditions of the foregoing benefits may vary over time and are determined by the features, limits and functionalities described on the Website and in the Additional Terms.
1.3. Changes to the Services
The Business Customer acknowledges that the Services are continuously evolving. Subject to these Business Subscription Terms, Freepik reserves the right, at any time and in its sole discretion, to modify, enhance, update, replace, suspend, limit or discontinue any part of the Services.
Except as expressly provided with respect to pricing changes applicable upon renewal of the Business Subscription, Freepik shall have no obligation to maintain or continue any particular feature or functionality of the Services and shall not be liable for any modification to, or removal of, any aspect of the Services.
2. Account Structure, Seats and User Management
2.1. Business Account and Roles
The Business Subscription is provided through a single business account associated with the Business Customer (the "Business Account"). Access to the Business Account and the Services is role-based and limited to the following roles: Account Owner, Admins and Members.
The Account Owner is the representative of the Business Customer designated through the Website or the administrative interface as having primary administrative authority over the Business Account. The Account Owner is solely responsible for managing the Business Subscription, including subscription settings, billing and payment matters, assignment and revocation of user roles, and acceptance of updates to these Business Subscription Terms.
Admins and Members are Authorized Users designated by the Account Owner with limited permissions within the Business Account. Admins and Members may perform operational actions within the scope of the functionalities made available through the Services but shall have no authority to enter into, amend or terminate these Business Subscription Terms, or otherwise bind Freepik contractually.
All actions carried out through the Business Account by the Account Owner, Admins or Members shall be deemed to have been performed by or on behalf of the Business Customer.
2.2. Authorized Users and Eligibility
Access to the Services under the Business Subscription is limited to Authorized Users, meaning natural persons who are employees or internal members of the Business Customer's organization.
For the avoidance of doubt, Authorized Users may not include external contractors, freelancers, consultants, clients, partners or any other third parties, nor employees or members of affiliated entities or other companies within the same corporate group. The Business Subscription does not permit the provision of access to, or use of, the Services on behalf of or for the benefit of third parties.
The Business Subscription may be used solely for the Business Customer's internal business or professional purposes. Any access to or use of the Services by persons who do not meet the eligibility requirements set out in this Section shall constitute a material breach of these Business Subscription Terms.
2.3. Seats and User Lifecycle
Seats associated with the Business Subscription represent the maximum number of Authorized Users that may access the Services at any given time and are managed at the Business Account level.
The Account Owner may add, remove or replace Authorized Users using the self-service administrative tools made available through the Services, subject to the maximum number of seats contracted under the Business Subscription.
Where an Authorized User is removed, the corresponding seat may remain unassigned and may be reassigned at any time. The removal or replacement of an Authorized User does not, by itself, reduce the number of seats contracted under the Business Subscription.
Seats are personal to each Authorized User and may not be shared with any other person or used concurrently by more than one individual.
Any reduction in the number of seats contracted under the Business Subscription shall take effect only upon renewal of the applicable subscription term, in accordance with the conditions described on the Website.
2.4. Usage Credits and Account-Level Allocation
Usage credits included in the Business Subscription are allocated at the Business Account level and are shared among all Authorized Users. Usage credits are not allocated on a per-user basis and do not constitute the property of any individual Authorized User.
Usage credits remain available to the Business Account regardless of changes to Authorized Users, subject to the applicable limits, rollover rules and expiration conditions described in these Business Subscription Terms and on the Website.
2.5. Responsibility and Control
The Business Customer, acting through the Account Owner, is solely responsible for the administration of the Business Account and for all access to and use of the Services by its Authorized Users.
The Business Customer shall be responsible for all acts and omissions of its Authorized Users in connection with the Services, including any acts or omissions that, if performed by the Business Customer, would constitute a breach of these Business Subscription Terms or the Additional Terms.
Freepik reserves the right, at its discretion and without prejudice to any other rights or remedies, to suspend or restrict access to the Services for any Authorized User, or to require the removal of any Authorized User, where Freepik reasonably believes that such access or use violates these Business Subscription Terms or applicable law.
3. Pricing, Billing and Credits
3.1. Pricing and Fees
The Business Subscription is offered on a seat-based pricing model, as described on the Website. The applicable fees, billing frequency, number of seats, included Usage Credits and any additional charges shall be those indicated on the Website at the time of purchase or modification of the Business Subscription.
All prices are exclusive of any applicable taxes, duties or levies, which shall be charged in accordance with applicable law.
The credit cost associated with the use of AI Products may vary over time. The Company reserves the right to determine, at its sole discretion and without prior notice, the credit consumption required for any tool or functionality, and to modify such credit costs at any time. Such adjustments may apply to all Users or only to certain Subscriptions. The User acknowledges that the only binding credit cost for any AI Product is the one in effect at the time of use, and that any values applicable or displayed at the time of Subscription purchase are subject to change. It is the User's responsibility to verify the applicable credit cost before using each AI Product.
The Company reserves the right to modify the prices of any Subscription at any time but will apply the current price on the Website at the time of the User's order. In case of a price modification applicable to any renewal, the Company will inform the User at least one month before the application date by email sent to the address associated with their account.
3.2. Billing, Payment and Renewal
The Business Subscription shall be billed on a monthly or annual recurring basis, as selected by the Business Customer at the time of purchase through the Website. The Business Subscription will not be active until payment has been received or authorized by the corresponding payment entity. From that moment, the Business Subscription will remain in force for the period contracted by the Business Customer. Once the purchase is completed, the Business Customer will receive the corresponding invoice.
By purchasing a Business Subscription, the Business Customer authorizes Freepik to charge the applicable fees using the payment method selected during the purchase process on a recurring basis until the Business Subscription is cancelled in accordance with these Business Subscription Terms.
Unless otherwise stated on the Website, the Business Subscription shall automatically renew at the end of each Subscription Term for successive periods of the same duration, using the then-applicable pricing and the same payment method, unless the Business Customer cancels the Business Subscription prior to renewal.
Except where expressly required by applicable law, fees are non-refundable and no refunds or credits shall be issued for partial Subscription Terms, unused seats, unused Services or unused Usage Credits.
3.3. Seats and Subscription Modifications
The Business Customer may increase the number of seats associated with the Business Subscription at any time through the Business Account, subject to the limits and pricing indicated on the Website. Any increase in seats shall become effective immediately and may result in additional charges, as described on the Website.
Any reduction in the number of seats shall take effect only at the end of the then-current Subscription Term, unless otherwise expressly stated on the Website.
Changes to the billing frequency, including upgrades from monthly to annual billing or downgrades from annual to monthly billing, shall take effect in accordance with the conditions described on the Website.
3.4. Usage Credits and Rollover
The Business Subscription includes a pool of Usage Credits allocated at the Business Account level and shared among all Authorized Users. Usage credits are not allocated on a per-user basis and do not constitute property of the Business Customer.
Unless otherwise indicated on the Website, Usage Credits included in the Business Subscription may be rolled over for a limited period after the end of a billing cycle, as described on the Website. Any rolled-over Usage Credits shall automatically expire if not used within the applicable rollover period.
All unused Usage Credits shall expire upon cancellation or termination of the Business Subscription.
3.5. Extra Credits and Add-Ons
The Account Owner may purchase additional packages of Usage Credits ("Extra Credits") or other add-ons made available on the Website from time to time. Unless otherwise indicated on the Website, Extra Credits shall be charged at the time of purchase and are non-refundable.
Extra Credits shall remain valid for a period of three (3) years from the date of purchase, after which they shall automatically expire. Extra Credits shall be consumed only after the Usage Credits included in the Business Subscription for the applicable billing period have been exhausted.
Where available, the Account Owner may enable automatic purchases or refills of Extra Credits through the Business Account. By enabling such functionality, the Business Customer authorizes Freepik to charge the applicable amounts automatically in accordance with the settings selected.
4. Termination, Cancellation and Effects
4.1. Cancellation by the Business Customer
The Business Customer may cancel the Business Subscription at any time through the Business Account, in accordance with the procedures made available on the Website.
Unless otherwise required by applicable law, any cancellation shall take effect at the end of the then-current Subscription Term. The Business Subscription shall remain active, with full access to the Services, until the expiration of such Subscription Term.
Cancellation of the Business Subscription shall not entitle the Business Customer to any refund of fees already paid, nor to any credit or compensation for unused seats, unused Services, unused Usage Credits or unused Extra Credits.
4.2. Termination or Suspension by Freepik
Freepik may suspend or terminate the Business Subscription, in whole or in part, with immediate effect, where Freepik reasonably believes that: (a) the Business Customer or any Authorized User has materially breached these Business Subscription Terms or the Additional Terms; (b) continued provision of the Services would violate applicable law or a binding order of a competent authority; or (c) the Business Customer's use of the Services poses a security risk, legal risk or material harm to Freepik, its users or third parties.
Where reasonably practicable, Freepik shall provide prior notice of suspension or termination and, where appropriate, an opportunity to remedy the relevant breach. Nothing in these Business Subscription Terms shall limit Freepik's right to take immediate action where required by law, to comply with a binding order, or to prevent imminent harm.
4.3. Effects of Termination or Expiration
Upon expiration or termination of the Business Subscription for any reason: (a) all rights granted to the Business Customer and Authorized Users to access and use the Services under the Business Subscription shall immediately cease; (b) any unused Usage Credits and Extra Credits shall automatically expire, without compensation or refund; and (c) the Business Customer shall remain responsible for any fees or charges incurred prior to the effective date of termination.
Termination or expiration of the Business Subscription shall not affect the validity or enforceability of any provisions of these Business Subscription Terms which, by their nature, are intended to survive, including, without limitation, provisions relating to intellectual property rights, indemnification, limitation of liability and disclaimers.
5. Indemnification
Except as expressly set out in this Section 5 or in any Additional Terms expressly providing for indemnification, Freepik does not assume any obligation to indemnify, defend or hold harmless the Business Customer or any third party under these Business Subscription Terms.
5.1. Specific IP Indemnification for AI Outputs
Subject to clauses 5.1 and 5.2, Freepik will indemnify and keep indemnified Business Customers from and against any and all Losses ((i.e., direct losses, damages, liabilities, settlements, judgments, awards, penalties, fines, costs and expenses, including reasonable legal fees, to the extent permitted under these Business Subscription Terms and subject to the applicable limitations of liability) in connection with any Claim (i.e., any third-party claim, demand, action, suit, proceeding or threatened claim) issued by a third-party directly arising from infringement of Intellectual Property Rights derived from the use by the Business Customer of the Output (as defined in the AI Products Terms and Conditions). Such indemnification is subject to the limitations of liability provided for in Section 6. The Business Customer shall use reasonable endeavours to mitigate any Losses suffered arising out of or in connection with the subject matter of any indemnity in this Section 5.1.
For the avoidance of doubt, the indemnification provided under this Section 5.1 does not constitute, and shall not be construed as, any warranty, representation or guarantee by Freepik as to the legality, non-infringement, accuracy, completeness or suitability of any Output, and shall constitute the Business Customer's sole and exclusive remedy in respect of Claims of the type described in this Section 5.1.
Freepik's indemnification obligations under Section 5.1 specifically exclude any Claims arising from: (i) Business Customer's use of the Services (including the Output) in breach of the Agreement, the Acceptable Use Policy or any applicable law or regulation; (ii) infringement of Intellectual Property Rights derived from the use by the Business Customers of the Output in any of the following situations:
- Infringements of any trademark or other registered Intellectual Property Rights which are recorded on a public register (e.g. designs or patents), as Business Customer has the possibility to search for such registered trademarks or other Intellectual Property Rights before using the Output.
- Without limiting the above, infringements of any Intellectual Property Rights or other third-party rights arising from the Business Customer knowingly or recklessly using an Output that infringes a third party's Intellectual Property Rights or other rights. For such purposes "knowingly or recklessly" shall include circumstances where Business Customer would reasonably be expected to know of such infringement if it used reasonable skill, care and diligence.
- Claims relating to activities undertaken after Business Customer has been informed that it should not use the Output, including, but not limited to, notifications made by Freepik, or by a third party through a formal notification (such as a "cease and desist" or a Digital Millennium Copyright Act takedown request).
- Claims arising from or resulting in any way from the Business Customer's provided Input (except where the Claim is directly related to an asset taken by the Customer from the Freepik Stock Content Library), including, but not limited to:
- Images, videos or other content uploaded by Business Customer to the Services without having all the necessary licenses, rights and consents (e.g. if Business Customer uploads a photograph of a person who has not provided any necessary authorization the use of their image or an image of a protected work for which it does not have a licence).
- Any use of prompts that Business Customer knew, or should have known, infringed third party Intellectual Property Rights (or other third party rights), either directly or indirectly, or by which it is intended to infringe third party Intellectual Property Rights (or other third party rights). By way of example, without limitation, this includes prompts that knowingly: (i) include names of registered trademarks or characters protected by copyright; (ii) describe a protected work with reference to its name or other distinctive elements such as composition, aesthetics, or characters; or (iii) otherwise attempt to replicate a protected work, even if its name is not explicitly mentioned.
- Claims arising from modifications made by Business Customer to the Output, or the use of the Output by the Business Customer in combination with third-party content, services, or technology.
5.2. Freepik Indemnification Procedure
For clarification purposes, this Section 5.2 applies solely to indemnification obligations covered under Section 5.1.
Any such indemnification obligation is subject to the following conditions:
(a) The Business Customer shall promptly notify Freepik in writing of any claim or threatened claim for which indemnification is sought, providing reasonable details of the claim as then known. Any failure to provide timely notice shall relieve Freepik of its indemnification obligations only to the extent that such failure materially prejudices Freepik's ability to defend or resolve the claim.
(b) The Business Customer shall provide Freepik, upon request, with all information and materials that Freepik reasonably deems necessary to assess, verify, defend or settle the claim, including, without limitation: (i) details of the relevant Output(s); (ii) the Inputs, prompts, reference materials and other data used to generate such Output(s); (iii) the AI Product, model, version and configuration used; (iv) details of how, where and for what purpose the Output(s) have been used; and (v) copies of any correspondence, notices or communications received or sent in connection with the claim.
(c) The Business Customer shall not make any admission of liability, statement of fault or settlement relating to the claim without Freepik's prior written consent.
(d) Freepik shall have the right, but not the obligation, to assume control of the defence and settlement of the claim, including the right to coordinate such defence with its licensors, technology providers or other third parties, at its discretion. The Business Customer shall provide reasonable cooperation in connection with such defence.
(e) If Freepik does not assume control of the defence within a reasonable time, the Business Customer may defend the claim, provided that any settlement entered into without Freepik's prior written consent shall not be binding on Freepik.
5.3. Business Customer Obligations; Claims against Freepik
Business Customers will indemnify and keep indemnified Freepik from and against any and all Losses in connection with any Claim to the extent arising from: (i) Input, Output or modifications made to an Output in accordance with section 5.1 except where Freepik has expressly acknowledged and accepted liability for such Claims under Section 5.1; (ii) Business Customer's gross negligence or wilful misconduct; (iii) Business Customer's breach of the Agreement or applicable law.
5.4. Mitigation Rights
If Freepik reasonably believes that the use of a specific Output may give rise to a Covered Output Claim, Freepik may, at its sole discretion, require the Business Customer to immediately cease use of such Output. For the avoidance of doubt, Freepik shall have no obligation to procure any rights, licenses or permissions to allow continued use of any Output, nor to modify, replace or remediate any Output. The exercise by Freepik of its rights under this Section 5.4 shall not be deemed an admission of liability and shall be without prejudice to any other rights or remedies available to Freepik under these Business Subscription Terms or applicable law.
6. Limitation of Liability
Nothing in these Business Subscription Terms shall operate so as to exclude or limit the liability of either party to the extent that such liability cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
In no event shall Freepik be liable under any legal theory, whether in contract, tort (including negligence), strict liability or otherwise, for any indirect, consequential, incidental, special, punitive or exemplary damages, or for any loss of profits, revenue, business, contracts, data, goodwill or anticipated savings, even if Freepik has been advised of the possibility of such damages.
Subject to this Section and except as expressly provided in Section 5.1 (Indemnification), Freepik's total aggregate liability arising out of or in connection with these Business Subscription Terms or the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed fifty thousand euros (€50,000). For the avoidance of doubt: (a) the foregoing cap constitutes the sole and exclusive monetary liability of Freepik under these Business Subscription Terms; (b) Freepik shall not be liable for any matter not expressly covered by the indemnification obligations set out in Section 5.1; and (c) the limitation applies in the aggregate for all Claims and does not reset per incident, per Output or per Business Customer.
Nothing in these Business Subscription Terms shall limit or exclude the Business Customer's liability arising from: (a) any breach of these Business Subscription Terms by the Business Customer or its Authorized Users; (b) any Claim arising from Inputs, Outputs or use of the Services, except to the extent expressly covered by Freepik's indemnification obligations under Section 5.1; or (c) any violation of applicable laws or third-party rights by the Business Customer or its Authorized Users.
